If you register an organisation (tenant) account, the designated administrator is responsible for managing user roles, permissions (via RBAC), and ensuring all users within the organisation comply with these Terms.
The Services are offered under various subscription plans, which may include free trials, freemium tiers, and paid plans. Current pricing is available on our website or upon request. All fees are quoted in the currency specified at the time of purchase.
Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
We offer a 14-day money-back guarantee for new paid subscriptions. Refund requests after this period are evaluated on a case-by-case basis. Refunds are not available for partial billing periods or downgrades.
All fees are exclusive of applicable taxes (including GST/VAT). You are responsible for any taxes associated with your use of the Services, except for taxes based on our net income.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

The Services, including all software, code, design, graphics, user interface, branding (including the "eW" logo and "eWorks Online" wordmark), documentation, and proprietary algorithms, are owned by eWorks Online and protected by intellectual property laws. Nothing in these Terms grants you ownership of any intellectual property in the Services.
Subject to your compliance with these Terms and active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your subscription.
If you provide suggestions, feature requests, or other feedback about the Services, we may use such feedback without restriction or obligation to you. Feedback does not create any confidentiality obligation on our part.
You retain full ownership of all data, content, documents, and records you upload or create within the Services ("Your Data"). We do not claim any ownership rights over Your Data.
You grant us a limited licence to host, store, process, and display Your Data solely to provide and improve the Services. This licence terminates when you delete Your Data or close your account.
You may export Your Data at any time through the platform's built-in export functionality (CSV/Excel formats). Upon account termination, we will make Your Data available for export for 90 days, after which it will be permanently deleted.
Your Data is logically isolated from other organisations' data using Row-Level Security (RLS) at the database level. We implement strict access controls to ensure your data is only accessible to authorised users within your organisation based on your RBAC configuration.

We strive to maintain 99.9% platform uptime, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance via email or in-app notification.
If monthly uptime falls below 99.9% due to issues within our control, eligible paid subscribers may request service credits as set out in the applicable Service Level Agreement (SLA) associated with their subscription plan.
We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, acts of government, cyber attacks, third-party infrastructure failures, or pandemics.
The Services may integrate with third-party systems including, but not limited to, BMS/SCADA systems, IoT sensors, PLC controllers, ERP platforms, and email/SMS providers. Your use of third-party integrations is subject to those providers' terms and policies. We are not responsible for the availability, accuracy, or performance of third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL eWORKS ONLINE, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
Our total aggregate liability for all claims arising from or related to the Services shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations in this section apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such cases, our liability will be limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless eWorks Online and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You may continue to access the Services until the end of the paid period.
We may suspend or terminate your access immediately if you:
Upon termination, your right to access the Services ceases immediately. Your Data remains available for export for 90 days following termination. After this period, all data associated with your account will be permanently and irreversibly deleted. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.
Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles.
Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia. Notwithstanding the foregoing, we may seek injunctive or equitable relief in any court of competent jurisdiction.

These Terms, together with the Privacy Policy and any applicable SLA or Order Form, constitute the entire agreement between you and eWorks Online regarding the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
